1.Agreement to These Terms
These Terms form a legally binding agreement between you and FrameShaping LLC, a limited liability company organized under the laws of the State of Florida. You accept these Terms by checking the acceptance box where presented, creating an account, making a purchase, joining our community, or otherwise using the Services. They apply to all visitors, users, clients, and members of the Services. Additional terms may apply to specific programs, engagements, or products (for example, a coaching agreement, statement of work, or membership terms), and where those additional terms conflict with these Terms, the additional terms control for that offering.
2.Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that any information you provide is accurate and current. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3.Our Services
FrameShaping provides leadership and team-performance development, including:
- Executive & leadership coaching — one-on-one and group coaching engagements.
- Team development — workshops, facilitated sessions, and training programs.
- Speaking & workshops — keynotes, half-day and full-day sessions, and retreats.
- Digital content & resources — assessments, scorecards, guides, courses, and downloadable materials.
- Community & membership — access to community programming, live calls, and related resources (including offerings provided in connection with Elevare Global).
We may add, modify, suspend, or discontinue any part of the Services at any time. Descriptions of Services on our website are for general information and do not constitute a guarantee that a particular Service will remain available.
4.Accounts & Registration
Some Services require you to create an account or register for a program or membership. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
5.Payments, Fees & Renewals
Fees for programs, products, and memberships are described at the point of purchase. By purchasing, you authorize the applicable fees, plus any applicable taxes, to be charged to your selected payment method.
Community memberships (third-party platform)
Our community membership is offered and delivered through a third-party community platform (currently Skool). Membership pricing, billing, any automatic renewal, and cancellation are presented and managed on that platform at the point of purchase and are subject to that platform's terms — please review them before subscribing. FrameShaping does not separately bill recurring membership charges through this website.
Pricing & processors
We may change pricing prospectively; changes will not affect a current paid term. Payments are processed by third-party providers, and your use of those services is subject to their terms. You are responsible for keeping your payment information current.
6.Cancellations & Refunds
Community memberships. Because memberships are billed through our third-party community platform (Skool), you manage and cancel your membership through that platform, subject to its cancellation process. Cancellation generally takes effect at the end of the current billing period, and you retain access until then. Unless otherwise stated in writing or required by law, membership fees are non-refundable.
Coaching, workshops & events. Cancellation, rescheduling, and refund terms for coaching engagements, workshops, speaking, and events are set out in the applicable agreement, invoice, or registration terms for that offering. Deposits and fees may be non-refundable as stated there.
Digital products — no refunds. Certain offerings on our websites (including e-books, guides, and other downloadable content) are digital products delivered electronically, typically immediately after purchase. By purchasing a digital product, you consent to immediate delivery. Except where a refund is required by applicable law, all sales of digital products are final and non-refundable, and this policy is disclosed at the point of purchase. If you do not receive your download after purchase, contact us at [email protected] (or simply reply to your delivery email) and we will re-deliver it at no additional charge.
7.Community & Member Conduct
Our community spaces and live sessions are built on respect and psychological safety. You agree not to: harass, threaten, or demean others; share others' private information; post unlawful, infringing, or misleading content; spam, solicit, or promote competing offerings without permission; or disrupt the Services. We may remove content and suspend or remove members who violate these standards, at our discretion and without refund.
8.Intellectual Property
All content, materials, frameworks, methodologies, courses, assessments, text, graphics, logos, and other works made available through the Services are owned by or licensed to FrameShaping LLC and are protected by intellectual-property laws. This includes our proprietary frameworks and marks, such as the F5 Framework™, TAP-IN™, and Role Clarity Scorecards™.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our content solely for your own personal or internal business use. You may not copy, reproduce, republish, resell, distribute, or create derivative works from our content, or use our marks, without our prior written consent. Client-provided templates and materials are for the client's internal use only and may not be resold or redistributed.
9.Your Content
You may have opportunities to submit content — such as posts, comments, questions, or feedback. You retain ownership of your content, but you grant FrameShaping a worldwide, non-exclusive, royalty-free license to use, host, display, and reproduce it for the purpose of operating and improving the Services. You are responsible for your content and represent that you have the rights to share it and that it does not violate any law or third-party right.
10.Third-Party Services & Links
The Services may integrate with or link to third-party platforms (for example, scheduling, payment, community, video, and email tools) and to Elevare Global offerings. We do not control and are not responsible for third-party services or websites, and your use of them is governed by their own terms and privacy practices.
11.Confidentiality
We respect the confidential nature of coaching and consulting relationships and will handle your personal and business information in accordance with our Privacy Policy and any applicable engagement agreement. Coaching is a professional development relationship and is not a substitute for legal, financial, medical, or mental-health services, and communications are not protected by any legal privilege.
12.Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FrameShaping disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
No guaranteed results. Our Services support leadership and performance growth, but outcomes depend on many factors within your control. We do not guarantee any specific result, income, promotion, or business outcome. Nothing in the Services constitutes legal, financial, medical, or psychological advice.
13.Limitation of Liability
To the fullest extent permitted by law, FrameShaping LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to FrameShaping for the specific Service giving rise to the claim during the twelve (12) months before the event giving rise to the liability.
14.Indemnification
You agree to indemnify and hold harmless FrameShaping LLC and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or any law or third-party right.
15.Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
16.Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Bay County, Florida, and you consent to their jurisdiction and venue, unless the parties agree in writing to resolve the dispute through binding arbitration. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual-property or confidential-information rights.
17.Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
18.General Terms
These Terms, together with any additional program or membership terms and our Privacy Policy, are the entire agreement between you and FrameShaping regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. The section headings are for convenience only.
